These terms create an agreement between you (the "Affiliate") and Raining Games Inc., located at 14511 Franklin Ave, Suite 200, Tustin, CA 92780 ("Kirgo," "we," or "us"). They explain what to expect when you join the Kirgo Affiliate Program at kirgo.us. By joining, you agree to these terms.
Definitions
1.1. Referred Player: a person who opens a Kirgo account using your referral link or code and passes our verification checks.
1.2. Insertion Order: The separate, confidential agreement between you and Kirgo that outlines your commission, rates, and payment details.
1.3. Excluded Territory: Any state or territory listed as excluded in the Kirgo Terms of Use and the Sweepstakes Rules, as updated from time to time.
Joining the program
2.1. You must be at least 21 years old and hold a verified Kirgo account.
2.2. Businesses are welcome to join. We may ask you to provide company details, tax forms, and proof that you own or control the business.
2.3. We may accept or decline any application at our discretion, without providing a reason.
2.4. You can have one affiliate account and create as many referral links and codes as you need within it.
Commission
3.1. You'll find your commission, rates, and how they're calculated in your Insertion Order. If there's any difference between these terms and your Insertion Order regarding commission or payment, the Insertion Order will apply.
3.2. Commission is earned only for Referred Players who are verified, located in a Permitted Territory, and not on a break, self-excluded, suspended, or closed.
3.3. No commission will be paid on transactions involving you, members of your household, your staff, any account you control, or any Kirgo employee or contractor.
3.4. Gold Coins have no cash value. Commissions are never paid in Gold Coins or Sweeps Coins.
Payment
4.1. We'll pay commission as outlined in your Insertion Order, directly to an account or wallet in your name or your business's name.
4.2. Commission can't be played on Kirgo or passed to another player.
4.3. We may hold a payment while we review activity, for up to 30 days.
4.4. If commission was earned through a breach of these terms, fraud, a chargeback, or an error, we may deduct it from your balance or from future commission.
Confidentiality
5.1. Your Insertion Order, rates, and any reports we provide are confidential. Please share them only with your own advisers.
Taxes
6.1. You are responsible for all taxes on your commission.
6.2. US affiliates must give us a Form W-9 before their first claim. We will send a Form 1099-NEC as required by law.
6.3. Affiliates outside the US must give us a Form W-8BEN or W-8BEN-E.
Where you can promote
7.1. Please promote Kirgo only to people in Permitted Territories.
7.2. You must not target, promote to, or make content for anyone in an Excluded Territory. This includes:
7.3. For every paid ad, use the platform's location settings to exclude all Excluded Territories.
7.4. If we add a state to the Excluded Territories, please stop promoting there and update your content within 7 days of receiving our notice.
7.5. You must not suggest that anyone use a VPN, proxy, or false details to get around location rules.
How you must promote
8.1. Kirgo is a free-to-play social gaming platform. Promote it that way.
8.2. Whenever you mention Sweeps Coins or prizes, please include "No purchase necessary. Void where prohibited. 21+." in the same place, and make it just as clear as any offer.
8.3. You must not:
8.4. Clearly label sponsored content, for example, "Ad" or "Sponsored", as required by the FTC Endorsement Guides.
8.5. Please avoid promoting Kirgo to anyone under 21, on channels where most of the audience is under 21, or through content that mainly appeals to minors.
8.6. Do not target people who have excluded themselves, and avoid content that encourages excessive or prolonged play.
8.7. Florida: If you mention a Kirgo promotion offering prizes in Florida, include the promotion's material terms.
Prohibited traffic and conduct
9.1. You must not:
9.2. If we find a breach, we may need to withhold or reclaim commission, close your affiliate account, and close any linked player accounts.
Brand and content
10.1. You're welcome to use the Kirgo name, logo, and the assets in your Affiliate Dashboard to promote Kirgo, subject to these terms. This license is limited and can be revoked.
10.2. You must not change our assets or make them look as if you are Kirgo.
10.3. We may ask you to revise or remove any content that mentions Kirgo. You must make the requested changes within 48 hours.
Player data
11.1. You will not receive personal data about your Referred Players. Your Dashboard shows totals only.
11.2. You must comply with all privacy and marketing laws that apply to you, including the CAN-SPAM Act and the Telephone Consumer Protection Act (TCPA).
Term and termination
12.1. These terms last until you or we end them.
12.2. You may leave the program at any time by emailing affiliates@kirgo.us.
12.3. We may end your participation at any time. If we end it for any reason other than your breach of the agreement, we'll pay you all commissions earned through the end date, as specified in your Insertion Order.
12.4. If we end it for a breach, we may keep any unpaid commission.
Liability and indemnity
13.1. To the extent permitted by law, our total liability to you is limited to the commission paid to you in the 12 months preceding your claim.
13.2. You agree to indemnify Kirgo against any claim, fine, or cost arising from your content, promotion, or breach of these terms or any law.
Changes to these terms
14.1. We may change these terms. We can change your commission only through your Insertion Order.
14.2. Other changes take effect when posted. If you continue promoting Kirgo after a change is posted, you accept the updated terms.
General
15.1. You are an independent contractor. Nothing in these terms makes you our employee, agent, or partner.
15.2. These terms are governed by California law. Disputes are resolved in accordance with Section 20 of the Kirgo Terms of Use (Dispute Resolution and Arbitration Agreement).
15.3. If any part of these terms is invalid, the rest stays in force.

To participate in the Program, you must:
• hold a fully verified (KYC-approved) Kirgo account;
• be at least 21 years old (or the age of majority in your jurisdiction, if higher);
• comply with all applicable laws and regulations in your jurisdiction; and
• not be located in, or promoting into, any restricted jurisdiction as defined in our Terms.
You must not register or participate in the Program on behalf of another person without our prior written consent.
We may request additional information (including KYC, KYB, and details of your traffic sources and promotional methods) at any time. We reserve the right, at our sole discretion, to accept, reject, suspend, or terminate any participation in the Program for any reason.
You will receive a unique referral link and/or code. A user will be deemed a referred player (“Purchaser”) only if they:
• register using your referral link or code; and
• complete a qualifying purchase and pass our internal compliance, fraud, and verification checks.
You must not refer yourself, create multiple accounts, or attempt to manipulate the Program in any way (including through fraud, automated traffic, or misleading promotions).
Referral tracking and attribution are determined solely by our systems and records. We do not guarantee attribution in cases of conflicting tracking data (including where multiple affiliates are involved).
All determinations relating to referrals, attribution, wagering activity, house edge, and rewards are final and binding.
You earn a percentage of net house edge derived from eligible Sweeps Coins gameplay by your referred players across Sweepstakes Casino games. Gold Coin activity is not included.
For the purposes of the Program, “net house edge” means the value derived from Sweeps Coins gameplay, calculated as gross house edge less applicable deductions, including without limitation:
• promotional credits, rewards, incentives, and other promotional costs;
• payment processing and network fees;
• third-party provider fees (including game providers, data providers, liquidity providers and platform fees);
• fraud losses, chargebacks, payment reversals, or compliance, fraud prevention, or responsible gaming related adjustments; and
• operational costs, adjustments or corrections reasonably associated with the player’s activity.
Our determination of net house edge is final and based on our internal systems and reporting.
Your commission rate, any tiering structure (e.g. based on referred first-time purchasers), and any promotional boosts are displayed in your dashboard or communicated by us. We may update these structures at any time.
Unless otherwise stated, each referred player will retain the commission rate applicable at the time of their initial registration via your referral link, which will apply to their eligible lifetime activity.
Referral earnings cannot be negative. Where adjustments exceed earnings for a given period, the balance will reset to zero and no negative carry-forward will apply.
We reserve the right to withhold, adjust, or reverse any rewards where we reasonably determine fraud, abuse, or breach of these Terms.
Your rewards are calculated based on the eligible Sweeps Coins gameplay generated by your referred players and your applicable commission rate.
Rewards = Eligible Sweeps Coins Gameplay × Applicable Game Rate × Your Commission %
For the purposes of the Program, rewards are derived from the value generated by such gameplay, taking into account the applicable game characteristics and adjustments described in these Terms.
We may apply internal weighting factors and adjustments to ensure consistency across different game types, promotional activity, and platform costs.
All calculations are performed using our internal systems and reporting, and our determination is final.
Referral rewards are calculated automatically and accrue in real time as eligible Sweeps Coins gameplay by your referred players is completed. Your dashboard shows, at a minimum:
• number of referrals / first-time purchasers;
• total Sweeps Coins gameplay by your referred players; and
• your total and claimable rewards.
Rewards are credited as Sweeps Coins to your account. Sweeps Coins may be used for gameplay in accordance with our Terms and applicable rules, and may be eligible for redemption subject to those terms. Sweeps Coins are promotional credits and have no direct monetary value outside of the platform except as permitted under our Sweepstakes Rules.
You may claim your referral rewards once you meet the minimum claim threshold shown in your dashboard. Any redemption of Sweeps Coins is subject to our standard account, compliance and account verification checks.
You are solely responsible for any taxes, reporting obligations, fees or charges that may apply.
You must:
• comply with all applicable laws, advertising standards, platform rules and our brand/marketing guidelines;
• only use Kirgo branding, offers and creative assets that we provide or approve;
• clearly label content as advertising or promotional content where required; and
• promptly update or remove any material we ask you to change or take down.
You must not:
• target or feature minors or vulnerable persons;
• market to or accept traffic from prohibited or restricted jurisdictions listed in our Terms of Service;
• promote or encourage use of VPNs, proxies or other tools to disguise location or bypass our controls;
• suggest gameplay is a way to solve financial problems, an investment, guaranteed income, or a requirement for social status or success;
• misrepresent gameplay, rewards, offers, or the chances of winning;
• use spam, misleading claims, adware, malware, bots, or unapproved incentivized traffic;
• copy the Kirgo website “look and feel” or present yourself as acting on our behalf;
• bid on, register, or use domain names, social accounts or paid search keywords that are identical or confusingly similar to our brands or domains.
The following are strictly prohibited and may result in suspension, closure and loss of rewards:
• self-referrals or referrals from accounts sharing your address, device, payment method or wallet;
• fake, duplicate or fabricated accounts;
• promotion abuse, arbitrage, or systematic attempts to exploit promotional or rewards systems;
• any other activity we reasonably consider fraudulent, abusive, unlawful, or in breach of these Terms or the Agreement.
We may withhold, adjust or reverse rewards where we reasonably determine:
• fraud, chargebacks or payment reversals;
• promotion or rewards abuse;
• compliance or responsible gaming related adjustments, including account restrictions or closures;
• breach of these Terms, the Agreement, or applicable law.
All player accounts, activity data and personal information are owned and controlled by Kirgo. You may not:
• access, store, copy, share, sell or otherwise use player data for your own purposes; or
• use player data other than as strictly necessary to monitor your own Program performance via our tools.
Any non-public information relating to our products, systems, commercial terms, performance or processes is confidential and must not be disclosed without our prior written consent.
You must comply with all responsible gaming, AML and KYC measures in place, including immediately ceasing promotion to any player we restrict, exclude or close.
We may suspend or terminate your participation in the Program at any time on notice, including (without limitation) for regulatory reasons, reputational risk, suspected breach or inactivity.
You may leave the Program at any time by contacting us and closing your participation.
On termination you must immediately:
• stop promoting Kirgo;
• remove or disable all Kirgo links, codes, logos and creatives; and
• cease using any confidential information.
If we terminate your participation due to non-compliance, fraud, illegality, abuse, or breach of these Terms or the Agreement, we may withhold, adjust or reverse some or all unpaid rewards connected to the breach.
If we terminate your participation for other reasons, and we are not prohibited by applicable law or regulation from continuing to provide rewards, you will continue to receive rewards from previously referred players, subject to the applicable thresholds and checks.
If regulatory, compliance, or legal requirements prevent us from continuing to provide rewards, rewards may be discontinued from the date such restriction applies.
You participate as an independent contractor, and nothing in this Agreement creates any employment, agency, partnership or joint venture relationship. You have no authority to bind Kirgo.
We may update these Terms and/or the Program (including tiers, rates, thresholds and eligibility) from time to time. We will notify you of material changes via the site, dashboard or email. Your continued participation in the Program after such notice constitutes acceptance of the updated Terms.
